1.Introduction

By accessing our website, engaging our services, purchasing our products, signing a proposal, approving a quotation, paying an invoice, subscribing to a service, or otherwise interacting with Webhood Infotech, you agree to be bound by these Terms & Conditions.

If you do not agree with these Terms, you must not use our services.

4.Client Responsibilities

Clients agree to:

• Provide accurate information.
• Provide content, logos, branding materials, and credentials when requested.
• Review deliverables within reasonable time.
• Provide approvals and feedback promptly.
• Maintain legal rights to all submitted content.
• Ensure their business activities comply with applicable laws.

The Client shall remain solely responsible for all content supplied to Webhood.

5.Quotations and Proposals

All quotations, estimates, and proposals issued by Webhood are valid for thirty (30) days unless otherwise stated.

Pricing, timelines, scope, milestones, and deliverables are defined in the applicable proposal, quotation, contract, invoice, or service agreement.

In case of conflict between these Terms and a signed agreement, the signed agreement shall prevail.

6.Payment Terms

Payment schedules may vary based on:

• Project scope
• Project complexity
• Budget
• Engagement model
• Service category

Specific payment milestones shall be defined in the proposal, quotation, invoice, or service agreement.

Work may not commence until required advance payment is received.

Webhood reserves the right to suspend or delay work where payments remain outstanding.

Ownership of deliverables shall not transfer until full payment has been received.

7.Late Payments

If any payment remains overdue:

• Webhood may suspend work immediately.
• Webhood may withhold project files.
• Webhood may suspend support services.
• Webhood may suspend account access.
• Delivery timelines may be revised accordingly.

All costs associated with payment recovery shall be the responsibility of the Client.

8.Project Delays

Clients must provide required materials, approvals, credentials, and feedback in a timely manner.

Where a Client causes delays, Webhood shall not be responsible for resulting timeline extensions.

If the Client remains unresponsive:

• Webhood may issue reminders through email and other available communication channels.
• Up to five (5) reminders may be issued.

If no response is received for sixty (60) consecutive days:

• The project shall be deemed abandoned.
• The project may be terminated by Webhood.
• All payments made shall be forfeited.
• No refund shall be issued.

Restarting an abandoned project may require a new quotation and additional fees.

9.Scope Changes

Any request that exceeds the originally agreed scope shall be treated as a change request.

Examples include:

• Additional pages
• New features
• New integrations
• Design revisions beyond agreed scope
• Additional testing
• Additional support

Scope changes may result in:

• Additional costs
• Revised timelines
• New milestones

Webhood reserves the right to accept or reject change requests.

10.Revisions

Revision allowances shall depend upon:

• Project scope
• Project complexity
• Project budget
• Package selected

Any revisions beyond the agreed scope may be chargeable.

Requests that materially alter previously approved work may be treated as new work and billed separately.

11.Refund Policy Reference

Refund eligibility shall be governed by the Refund & Cancellation Policy.

Unless otherwise stated:

• Clients may request cancellation before work commences.
• Once design work has been approved by the Client, payments become non-refundable.
• Refunds shall not be available for completed milestones, delivered work, subscription services, SaaS services, AI usage, consulting, or customized development already performed.

12.Intellectual Property Rights

Unless otherwise agreed in writing:

Upon full payment, the Client shall own the final project deliverables specifically created for that Client.

However, Webhood shall retain exclusive ownership of:

• Proprietary frameworks
• Internal systems
• Reusable modules
• Templates
• APIs
• Automation workflows
• AI models
• AI systems
• Methodologies
• Libraries
• Software architecture
• Internal development tools
• SaaS platforms
• Technical know-how

No transfer of ownership shall occur for such assets.

Nothing in these Terms shall grant the Client ownership over Webhood's proprietary technology.

13.Portfolio Rights

Unless expressly restricted by a signed confidentiality agreement or written notice from the Client, Webhood may:

• Display completed work in its portfolio.
• Use screenshots of completed projects.
• Reference the Client's name.
• Reference the Client's logo.
• Reference project outcomes and case studies.

Such usage shall be limited to promotional, educational, and marketing purposes.

14.Third-Party Services

Projects may depend upon third-party providers including:

• Hosting providers
• Domain registrars
• Payment gateways
• Cloud platforms
• Social media platforms
• Email providers
• AI service providers
• API providers

Webhood shall not be liable for:

• Service interruptions
• Provider outages
• Account suspensions
• API restrictions
• Pricing changes
• Provider policy changes
• Data loss caused by third parties

Clients acknowledge that third-party services remain outside Webhood's control.

15.AI Services Disclaimer

Where Webhood provides AI-powered services, including AI assistants, AI chatbots, AI automation, AI-generated content, AI analytics, or AI-driven workflows:

• Outputs may contain inaccuracies.
• Outputs may require human review.
• Clients remain responsible for final decisions.
• Clients must independently verify critical information.

Webhood does not guarantee the accuracy, completeness, or suitability of AI-generated outputs.

16.Limitation of Liability

To the maximum extent permitted by law:

Webhood's total liability arising from any claim shall not exceed the total amount paid by the Client for the specific project, service, or subscription giving rise to the claim.

Webhood shall not be liable for:

• Loss of revenue
• Loss of profits
• Loss of opportunity
• Loss of business
• Data loss
• Indirect damages
• Consequential damages
• Punitive damages
• Special damages

Whether arising from contract, negligence, tort, or otherwise.

17.Governing Law

These Terms shall be governed by the laws of India.

Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Jamshedpur, Jharkhand, India.
