SAAS and Subscription Terms

These SaaS & Subscription Terms ("SaaS Terms") govern the access to and use of software, applications, AI systems, automation tools, subscription services, cloud platforms, APIs, digital products, and Software-as-a-Service (SaaS) solutions provided by Webhood Infotech. By creating an account, subscribing to a service, accessing a platform, using an API, purchasing a subscription, or otherwise using any Webhood SaaS product, you agree to these Terms.
1.Introduction
These SaaS & Subscription Terms ("SaaS Terms") govern the access to and use of software, applications, AI systems, automation tools, subscription services, cloud platforms, APIs, digital products, and Software-as-a-Service (SaaS) solutions provided by Webhood Infotech ("Webhood", "Company", "we", "our", or "us").
These SaaS Terms supplement the Terms & Conditions, Privacy Policy, Refund Policy, SLA, and any applicable service agreement.
By creating an account, subscribing to a service, accessing a platform, using an API, purchasing a subscription, or otherwise using any Webhood SaaS product, you agree to these Terms.

3.Account Registration
To access certain services, users may be required to:

- Verify contact details
- Create login credentials
Users are responsible for maintaining the confidentiality of their account credentials.
Users remain responsible for all activities occurring under their account.
4.Account Security
Users agree to:

- Prevent unauthorized access
- Notify Webhood immediately upon suspected compromise
Webhood shall not be liable for losses resulting from compromised credentials caused by user negligence.
5.Subscription Plans

- Usage-based subscriptions

Plan details shall be defined on the applicable pricing page, proposal, invoice, contract, or service agreement.

Webhood reserves the right to:

- Terminate trials
- Require payment after trial expiration
without liability.
7.Subscription Billing
By subscribing, users authorize Webhood and its payment providers to charge applicable fees.
Subscription fees may include:

- AI usage fees
- Storage fees
- Add-on fees
- Support fees
- Integration fees
Users remain responsible for applicable taxes, duties, levies, and government charges.
8.Subscription Renewals
Unless otherwise specified:
Subscriptions may automatically renew at the end of each billing cycle.
Users may cancel before the next renewal date to avoid future charges.
Failure to cancel before renewal may result in charges for the next billing period.
9.Cancellation Policy
Users may cancel subscriptions at any time.
Cancellation shall:
- Stop future renewals
- Prevent future subscription charges
Cancellation shall not:
- Generate refunds
- Reverse previous payments
- Waive outstanding balances
Access may continue until the end of the active billing period.
10.Refund Policy

12.AI Services
Certain Webhood services may utilize artificial intelligence.
Users acknowledge that:
- AI outputs may contain inaccuracies.
- AI-generated responses require human review.
- AI systems may generate incomplete information.
- AI recommendations are not professional advice.
Users remain solely responsible for decisions made using AI-generated outputs.
13.User Content
Users may upload:
- Data
- Files
- Images
- Documents
- Customer records
- Marketing materials
- Business information
Users retain ownership of their content.
However, users grant Webhood a limited license to process such content for the purpose of operating and delivering services.
14.Data Responsibility
Users are responsible for:
- Data accuracy
- Data legality
- Data permissions
- Compliance with privacy laws
Users warrant that they possess all necessary rights to upload and process submitted information.
15.Email and Messaging Compliance
Where SaaS products provide:
- Email outreach
- WhatsApp messaging
- SMS communication
- Marketing automation
Users remain solely responsible for compliance with:
- Anti-spam laws
- Marketing regulations
- Data protection laws
- Consent requirements
Webhood shall not be responsible for unlawful marketing activities performed by users.
16.Usage Limits
Webhood may impose limits on:
- Contacts
- Leads
- Users
- Storage
- API requests
- Messages
- AI requests
- Email volume
- Processing capacity
Usage limits may vary depending on subscription plans.
Additional usage may require upgraded plans or additional charges.
17.Platform Availability
Webhood will use commercially reasonable efforts to maintain service availability.
However, Webhood does not guarantee:
- Continuous uptime
- Uninterrupted access
- Error-free operation
- Availability of specific features
Temporary interruptions may occur due to:
- Maintenance
- Security updates
- Infrastructure failures
- Third-party outages
18.Third-Party Integrations
Services may integrate with:
- Microsoft
- Meta
- OpenAI
- Razorpay
- Stripe
- SMTP providers
- Cloud providers
Webhood shall not be liable for:
- Provider outages
- API changes
- Account suspensions
- Pricing changes
- Policy changes
- Third-party failures
19.Intellectual Property
All rights, title, and interest in Webhood products remain the exclusive property of Webhood.
This includes:
- Source code
- SaaS platforms
- Software architecture
- APIs
- Databases
- Automation systems
- AI systems
- Templates
- Methodologies
- Frameworks
- Documentation
- Trademarks
No ownership rights are transferred through subscription or platform access.
20.License Grant
Subject to compliance with these Terms, Webhood grants users a limited, non-exclusive, non-transferable, revocable license to access and use subscribed services.
No rights are granted beyond those expressly stated.
21.Restrictions
Users shall not:
- Copy software
- Resell services without authorization
- Modify proprietary systems
- Create derivative works
- Reverse engineer software
- Circumvent security mechanisms
Except where prohibited by applicable law.
22.Account Suspension
Webhood may suspend accounts immediately where:
- Payments remain unpaid
- Fraud is suspected
- Security risks exist
- Abuse occurs
- Terms are violated
- Legal concerns arise
Suspension shall not create refund obligations.
23.Account Termination
Webhood may terminate accounts where:
- Serious violations occur
- Repeated violations occur
- Fraudulent conduct is detected
- Legal requirements necessitate termination
Upon termination:
- Access may be revoked
- Data may be removed
- Services may cease
Subject to applicable legal obligations.
24.Data Retention After Termination
Following account termination, Webhood may:
- Retain data for compliance purposes
- Retain backup copies
- Remove data after reasonable periods
Users are encouraged to export important data before cancellation.
25.Limitation of Liability
To the maximum extent permitted by law:
Webhood's total liability shall never exceed the amount paid by the user during the twelve (12) months preceding the event giving rise to the claim.
Webhood shall not be liable for:
- Lost revenue
- Lost profits
- Lost opportunities
- Business interruption
- Data loss
- Indirect damages
- Consequential damages
- Special damages
26.Indemnification
Users agree to indemnify and hold harmless Webhood from claims, damages, liabilities, costs, expenses, and legal fees arising from:
- User conduct
- User content
- Violation of laws
- Violation of these Terms
- Unauthorized activities
27.Force Majeure
Webhood shall not be liable for delays, interruptions, or failures caused by:
- Natural disasters
- Internet outages
- Power failures
- Cyberattacks
- Government actions
- Labor disputes
- Pandemics
- Events beyond reasonable control
28.Modifications
Webhood may modify these SaaS Terms at any time.
Updated versions become effective upon publication.
Continued use of services constitutes acceptance of revised Terms.
29.Governing Law
These SaaS Terms shall be governed by the laws of India.
Any dispute shall fall under the exclusive jurisdiction of the courts located in Jamshedpur, Jharkhand, India.
